Terms of Service

Effective date: 19 August 2026 | Website: m-bison.com

These Terms of Service ("Terms") govern your access to and use of the M-Bison Marketing Solutions ("M-Bison," "we," "us," or "our") website at m-bison.com, and your engagement of our digital marketing, advertising, content, and related services. By accessing this website, submitting a form, booking a consultation, or signing a service agreement with M-Bison, you agree to these Terms. If you do not agree, please do not use the website or our services.

1. Who these Terms apply to

These Terms apply to visitors of m-bison.com, prospective clients who submit inquiries or book consultations, and clients who engage M-Bison for marketing services under a separate signed service agreement or proposal.

2. Description of services

M-Bison provides digital marketing services for growing businesses, which may include:

  • Digital strategy and marketing setup
  • Social media management and content scheduling
  • Paid advertising campaigns (including Meta and Google platforms)
  • Content and creative production, including graphics, ad copy, and captions
  • Photo and video production, including short-form video content
  • Website, landing page, and funnel improvements
  • SEO and local visibility work
  • CRM setup and lead automation workflows
  • Analytics, dashboards, and performance reporting

The specific services, deliverables, and scope provided to a client are defined in that client's individual proposal, package selection, or signed service agreement, which forms part of the agreement between the client and M-Bison alongside these Terms.

3. Packages, proposals, and agreements

M-Bison offers service packages (such as the Growth System and Level-Up packages advertised on this website) describing included deliverables such as ad platforms managed, short-form video counts, static creative counts, automation workflows, reporting, and strategy calls. Package details, deliverables, and pricing displayed on this website are for general reference and may be updated at any time.

The specific package, deliverables, pricing, and timeline that apply to a client are finalized in that client's individual agreement or proposal, which takes precedence over general package descriptions on this website in the event of any conflict. Submitting an inquiry or consultation request does not create a binding service agreement. A service relationship begins only once a proposal or agreement has been reviewed and signed by both parties.

4. Fees, payment terms, and advertising spend

Service fees are billed according to the terms set out in the client's package or signed agreement, typically on a monthly basis. Advertising spend (such as Meta or Google ad budgets) is separate from and in addition to the monthly service fee, and is billed or managed according to the terms agreed with the client.

Late or failed payments may result in a pause or suspension of services, including active advertising campaigns, until payment is resolved. Any taxes, transaction fees, or currency conversion costs associated with payment are the client's responsibility unless otherwise agreed in writing.

M-Bison should confirm and document its actual payment processor, billing cycle, late payment policy, and refund policy before publishing this section.

5. Term, renewal, and cancellation

Services continue for the term stated in the client's agreement and, unless otherwise specified, renew on a month-to-month basis until cancelled by either party with written notice as set out in that agreement.

Cancellation does not entitle the client to a refund of fees already paid for work performed, deliverables completed, or advertising spend already committed or spent. Any specific notice period, minimum term, or early cancellation terms are governed by the client's individual signed agreement.

6. Client responsibilities

To enable M-Bison to deliver services effectively, clients agree to:

  • Provide timely access to necessary accounts, platforms, brand assets, and information
  • Provide accurate business, billing, and contact information
  • Review and approve content, creative, and campaigns within agreed timeframes
  • Maintain active and funded advertising accounts where applicable
  • Comply with the terms of service of any third-party platform used in connection with the services (such as Meta, Google, or GoHighLevel)
  • Ensure that any materials, information, or instructions provided to M-Bison do not infringe the rights of third parties or violate applicable law

7. Content ownership and intellectual property

Upon full payment for the applicable services, finished deliverables created specifically for a client (such as ad creatives, videos, graphics, and copy produced under that client's agreement) become the property of the client, unless otherwise stated in the signed agreement.

M-Bison retains ownership of its own pre-existing tools, templates, frameworks, internal processes, and any general methodologies used to deliver services, and may use non-confidential, non-identifying aspects of completed work for its own portfolio, case studies, and marketing purposes unless the client requests otherwise in writing.

Clients retain ownership of their own pre-existing brand assets, trademarks, and materials provided to M-Bison.

8. Confidentiality

Both parties agree to keep confidential any non-public business, strategic, financial, or technical information shared in connection with the services, and to use such information only for the purpose of performing or receiving the services. This obligation continues after the end of the service relationship, except for information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law.

9. Third-party platforms and tools

Delivery of services may involve third-party platforms and tools, including but not limited to Meta, Google, GoHighLevel/LeadConnector, and other advertising, hosting, CRM, analytics, or payment platforms. M-Bison does not control and is not responsible for the availability, policies, pricing changes, outages, or account actions (such as suspensions or ad account restrictions) taken by these third-party platforms. Use of any third-party platform in connection with the services is also subject to that platform's own terms of service and policies.

10. No guarantee of results

Digital marketing outcomes such as traffic, leads, conversions, rankings, engagement, or revenue depend on numerous factors outside M-Bison's control, including market conditions, competition, platform algorithm changes, client-provided assets and approvals, and advertising budget. M-Bison does not guarantee specific results, rankings, revenue, or return on advertising spend, and no statement on this website or in marketing materials should be interpreted as such a guarantee.

11. Limitation of liability

To the maximum extent permitted by applicable law, M-Bison's total liability arising out of or relating to these Terms or the services provided is limited to the total fees paid by the client to M-Bison in the three (3) months preceding the event giving rise to the claim. To the maximum extent permitted by applicable law, M-Bison is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from the use of the website or the services, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold M-Bison, its team members, and contractors harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the website or services, your violation of these Terms, or your violation of any third-party right, including intellectual property or privacy rights, in connection with materials or instructions you provide to M-Bison.

13. Termination for cause

Either party may terminate the service relationship immediately if the other party materially breaches these Terms or the applicable service agreement and fails to remedy that breach within a reasonable period after receiving written notice, or if the other party becomes insolvent, ceases operations, or engages in unlawful conduct in connection with the services. Upon termination, the client remains responsible for payment of fees for work performed and advertising spend committed up to the date of termination.

14. Governing law and disputes

These Terms are governed by the laws of the Philippines, without regard to conflict of law principles, unless otherwise required by applicable local law where the client is based. The parties agree to first attempt to resolve any dispute informally through good-faith discussion before pursuing formal legal action.

M-Bison should confirm its preferred governing law, jurisdiction, and any arbitration clause with qualified legal counsel before publishing this section, particularly for clients based outside the Philippines.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes to our services, business practices, or legal obligations. We will post the revised Terms on this page and update the effective date. Continued use of the website or services after changes take effect constitutes acceptance of the revised Terms. If a change materially affects an active client agreement, we will provide additional notice where required.
